Terms of Service

1. Purpose

These Terms of Service ("Terms") govern access to and use of the INPAID service (the "Service"), operated by INPAID, a company under French law being incorporated, based in Paris. Any use of the Service constitutes full acceptance of these Terms by the Customer.

2. Description of the Service

INPAID is an autonomous AI Agent document detection SaaS platform designed to analyze the Customer's contractor invoices, detect tax and labor compliance risks (VAT reverse charge, worker misclassification, local tax IDs), hold or release payment accordingly, and generate the associated corrective actions. The Service is a decision-support tool and does not constitute certified legal, tax, or accounting advice under any circumstances.

3. Access to the Service and Account

Access to the Service requires creating an account with a valid work email address. The Customer is solely responsible for the confidentiality of its credentials and any activity performed from its account. The Customer agrees to notify INPAID promptly of any unauthorized use of its account.

4. Free Trial, Subscription, and Pricing

  • A 14-day free trial is offered, with no commitment and no credit card required.
  • Paid plans are billed monthly, at the rate communicated to the Customer at the time of subscription.
  • The Customer may change plans or cancel at any time from its dashboard; any change is prorated on the next invoice.
  • Invoices exceeding the subscribed plan's quota may be billed per-unit or require a plan upgrade.
  • Pricing is displayed in US dollars (USD).

5. Customer Obligations

The Customer agrees to:

  • Use the Service in accordance with its intended purpose and applicable regulations;
  • Only upload documents to the platform for which it legally holds usage rights;
  • Not attempt to circumvent, reverse-engineer, or compromise the security of the Service;
  • Not use the Service for unlawful, fraudulent purposes, or in violation of third-party rights.

6. Intellectual Property

INPAID retains all intellectual property rights related to the Service, its technology, algorithms, and documentation. Nothing in these Terms shall be construed as a transfer of rights to the Customer. Documents uploaded by the Customer ("Customer Data") and the compliance reports generated from them remain the property of the Customer.

7. Service Availability and SLA

INPAID aims to maintain 99.9% monthly Service availability for Enterprise plan customers (contractually guaranteed SLA), excluding planned maintenance notified in advance. Growth and Scale plans benefit from a target availability without a contractual SLA commitment. INPAID shall not be liable for interruptions caused by events beyond its reasonable control (force majeure, third-party provider outage, cyberattack).

8. Limitation of Liability

The Service is a decision-support tool designed to reduce tax and labor non-compliance risk; it does not replace the advice of an accountant, tax attorney, or legal counsel. Accordingly, INPAID shall not be liable for the consequences of a tax or labor reassessment, or any decision made by the Customer based on reports generated by the Service. INPAID's total liability under these Terms, for all damages combined, is capped at the amount paid by the Customer over the twelve (12) months preceding the triggering event. INPAID shall not be liable for indirect damages (loss of revenue, data loss, reputational harm).

9. Term and Termination

These Terms apply for the entire duration of use of the Service. The Customer may cancel its subscription at any time from its dashboard, with cancellation effective at the end of the current paid period. INPAID reserves the right to suspend or terminate access to the Service in case of a material breach of these Terms by the Customer, following a 15-day cure notice that remains unaddressed, except in cases of urgency (fraudulent use, security breach).

10. Confidentiality

Each party agrees to keep confidential any non-public information of the other party it becomes aware of in the course of performing these Terms, and to use it solely for the purpose of performing the Service.

11. Governing Law and Jurisdiction

These Terms are governed by French law. In the event of a dispute regarding their interpretation or performance, and absent an amicable resolution, the competent courts of Paris shall have exclusive jurisdiction, including in the case of multiple defendants or third-party claims.

12. Changes to These Terms

INPAID reserves the right to modify these Terms at any time. The Customer will be informed of any material change by email at least 30 days before it takes effect. Continued use of the Service after that date constitutes acceptance of the revised Terms.
